Typically when a larger company buys a smaller company it is because the smaller company has an asset that the larger company wants. The typical scenario is that the larger company takes over, integrates the acquired technology badly into their business and fires most of the better employees in the smaller company.
Management can pretty much do what ever they want. How they do it mostly depends on the type of take over. In many cases they eliminate whole departments which gives them the reason for laying off or firing workers - no longer a need for them. They can always open a new department with a different title but provides the same functions, just with new people. Not being a hostile take over, that may not be the case. PT Bank Rabobank International Indonesia purchased PT Haga Bank and PT Bank Hagakita in January this year. 'Our target is to complete combining the three banks into one by January next year,' the Indonesian unit's president Antonio da Silva Costa said. It was the biggest buzz of the year when it came to rumors that the big search engine daddy has plans to acquire the pseudo “Google of Feeds” i.e. FeedBurner. It was rumored that it is going to be a deal worth $100 million but still that has not been confirmed yet. The Official Google Blog and FeedBurner Blog both have blogged about the great deal but have not disclosed the acquisition price yet.

TechCrunch has confirmed the rumors regarding Google’s plan to acquire FeedBurner, a feed management service which is used by most bloggers. They are selling for $100 million in an all-cash deal to Google. Google seems to be specifically interested in FeedBurner’s RSS Ad network which could work out as a brilliant addition to Google’s existing advertising platform. Once the acquisition is over, I expect Google to relaunch FAN (FeedBurner Ad Network) under AdSense for Feeds banner which is both good and bad. Good because Google’s existing resources can help FeedBurner enhance their existing service. Bad because, monopoly makes us feel uncomfortable. In my opinion, $100 million sounds too low for a service which is used by majority of bloggers. FeedBurner which started with a venture capital of $10 million (in two rounds) is now selling for $100 million in just 3 years, which is quite good. I’m not happy with the idea of Google acquiring everything.

Yesterday, Alltel Corp. announced that it has signed a definitive merger agreement to be acquired by TPG Capital and GS Capital Partners, in a transaction valued at approximately $27.5 billion.Under the terms of the merger agreement, TPG Capital and GSCP will acquire all of the outstanding common stock of Alltel for $71.50 per share in cash. The purchase price per share represents a 23% premium over Alltel's closing share price prior to media reports of a potential transaction published on December 29, 2006.
