The primary reason Microsoft bailed on Yahoo is that the price didn't match up. Not only the initial takeover costs, but the costs to merge the two companies software would had been a costly and time intensive endeavor. And although acquiring Yahoo would helped Microsoft compete on the web front, Microsoft's real threat is that online services such as Google Docs may potentially challenge Microsoft's core Office software in the future.
After the Yahoo! Deal was laid off, the whole Microsoft felt deceived and upset. On January 31st 2008, YHOO stocks closed at 19.03$. And a day after, the Microsoft announcing its interest to takeover the internet giant, its stock prices shot up to 28$ in a single day and even reached 30$ at some point of time. But because of the indifferent approach of Yahoo! Board, Microsoft had to call off the deal. Post Yahoo!, an upset Gates calls up Ballmer.Gates: What is this, Steve? I expected more from you. Ballmer Wisely Doesn't Overplay Microsoft's HandDavid Enke submits: As expected and discussed recently, Microsoft (MSFT) did raise its offer for Yahoo! (YHOO) to $33 a share. Also as expected, Yahoo! wanted more. Certainly not expected, Microsoft said see you later before Yahoo! could say "Wait a minute, on the other hand...". I imagine that right now many Microsoft shareholders and employees are cheering, while some Yahoo! shareholders are considering lawsuits. To not take a $33 a share price to the shareholders will certainly get the lawyers interested. In the end, Ballmer held to his reputation of not messing around, being upfront, and playing tough but fair. He did give a little, but in the end stayed true to his word.
